PURCHASES, SALES AND FINANCING OF COMMERCIAL REAL ESTATE

I represent investors purchasing, selling, and financing office and other commercial buildings as well as purchasers of development sites. I also serve as real estate counsel to health care clients. Representation includes due diligence review of all leases and all title matters, review of real estate transfer tax issues and attendance to all stages of the acquisition, development and permanent financing of development projects. 

PURCHASES, SALES AND FINANCING OF INDUSTRIAL REAL ESTATE

I represent business owners seeking to purchase, sell, finance, expand or re-purpose their manufacturing and warehouse facilities in New York City and in industrial municipalities of New Jersey such as Newark, Elizabeth, Union City, Bayonne, Rahway, Union, Irvington, Cranford East Orange, Bloomfield and Hillside.  I regularly represent manufacturing clients in their SBA and EDA borrowings.

OWNER LEASING

I represent landlords of Manhattan office buildings and the owners of some of the most prestigious suburban office centers in the southern New Jersey/suburban Philadelphia office market and have experience in office leasing in South Carolina and Georgia as well.  Additionally, I do leasing work for several shopping center owners throughout the United States.

TENANT LEASING AND SUBLEASING

I represent many office tenants in Manhattan, including hedge funds, start-up hi-tech firms, garment center showrooms, licensing companies, nonprofits, licensed professionals (e.g. lawyers, psychologists) and real estate investment companies. I ensure that their needs and expectations are addressed in their leases, subleases and sub-subleases and that they are aware of all “hidden” costs.

PURCHASES, SALES AND FINANCINGS OF RESIDENTIAL REAL ESTATE

I have been involved in almost every conceivable residential real estate transaction in New York City, New Jersey and its environs, including purchases, sales, financings and leases of townhouses, multi-family properties and individual cooperative and condominium apartments; intra-family transfers; resolution of title matters; oceanfront and other waterfront transactions; surrenders of leases by rent stabilized tenants in exchange for payouts from landlords; purchases of HFDC cooperative apartments;purchases and sales of condominiums in Battery Park City; combinations of condominium or cooperative apartments; bulk sales; and undeveloped land transactions.  

TITLE AND OTHER REAL ESTATE-RELATED MATTERS

I have been involved in clearing title matters such as easement disputes, conversions from tenancy-in-common to LLC ownership, FIRPTA matters and New York City Real Property Transfer Tax disputes. I have served as counsel with respect to New York law matters in rendering opinion letters for mortgages of commercial properties throughout the United States.

REPRESENTATION OF NON-CONTROLLING INVESTORS

I represent many foreign entities in their investments as minority members of US real estate partnerships and LLCs. I review all relevant agreements and the underlying real estate transactions and advise my clients as to the expected cost of the proposed investment.
